NOTICE

The minimum Capital Commitment (as defined in the Partnership Agreement described herein) has been temporarily waived by the General Partner. Investments of $300,000 or more will be considered for investment in the Fund. The General Partner, at its sole discretion and without notice, reserves the right to change, waive or reinstate the minimum Capital Commitment at any time.

The Partnership does not intend to register the Interests under the Securities Act of 1933, as amended, pursuant to an exemption from registration thereunder which limits the types of investors that may be permitted to purchase the Interests. The Partnership also does not intend to register as an investment company under the Investment Company Act of 1940, as amended, pursuant to an exemption from registration thereunder. A prospective subscriber of Interests must meet the requirements of these exemptions for the Partnership to rely thereon, and the General Partner may reject any prospective purchaser if it determines, in its sole discretion, that the prospective purchaser has not satisfied these requirements. Therefore, information relating to the POSSIBLE investment of capital in the Fund is made available ONLY to those who can demonstrate that they are Accredited Investors as defined in the aforementioned Acts.

Ladies and Gentlemen:

2.The Investor acknowledges and agrees that the General Partner will notify the Investor as to the acceptance or rejection of the Investor’s application for information.

3.The Investor acknowledges and agrees that the General Partner reserves the right, in its sole discretion, to reject this application for information at any time.

4.The Investor hereby represents, warrants to, and agrees with, the General Partner and the Partnership that the following statements are true as of the date hereof, will be true as of the Closing Date applicable to the Investor, and will survive the Closing Date applicable to the Investor:
